These Terms of Service (“Terms”) govern access to and use of Goodstream, including Goodstream websites, the Goodstream web application, trial programs, beta features, CRM tools, email tools, workflow tools, file-management tools, and related services.
Goodstream is operated by VeriGood LLC (“VeriGood,” “Goodstream,” “we,” “us,” or “our”). By accessing or using Goodstream, you agree to these Terms. If you are using Goodstream on behalf of a company, college, nonprofit, or other organization, you represent that you are authorized to use Goodstream for that organization and to bind that organization to these Terms.
1. Eligibility and Authorized Use
Goodstream is intended for use by businesses, organizations, and their authorized users. You may use Goodstream only for lawful business, operational, CRM, workflow, file-management, communication, and related purposes authorized by your organization and by these Terms.
You may not use Goodstream if you are prohibited from doing so by applicable law or if we have suspended or terminated your access.
2. Accounts and Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to:
- Provide accurate account information;
- Use only your own authorized account;
- Keep your password and access credentials secure;
- Not share your login credentials with another person;
- Promptly notify your organization administrator or Goodstream of suspected unauthorized access;
- Use Goodstream only within the permissions assigned to you.
Organization administrators are responsible for managing their users, roles, permissions, connected accounts, imported data, and workspace settings.
3. Customer-Controlled Data
Organizations and their users control the information they enter, upload, import, send, receive, store, or manage through Goodstream (“Customer Data”). Customer Data may include CRM records, contact information, project records, notes, files, emails, replies, workflow information, and related operational information.
Your organization is responsible for the accuracy, legality, quality, and appropriateness of Customer Data. You represent that your organization has all rights, permissions, and lawful authority needed to submit, process, use, send, receive, or store Customer Data through Goodstream.
VeriGood does not claim ownership of Customer Data. Your organization retains its rights in Customer Data, and VeriGood may process Customer Data only as needed to provide, secure, support, troubleshoot, improve, and administer Goodstream, or as otherwise permitted by a written agreement or applicable law.
4. Privacy
Our collection and use of personal information is described in our Privacy Policy. By using Goodstream, you acknowledge that information may be processed as described in that policy.
5. Trial, Beta, and Evaluation Use
Goodstream may provide trial, beta, pilot, early-access, or evaluation features. These features may be incomplete, experimental, unstable, unavailable, or subject to change. Unless otherwise agreed in a signed written agreement, trial and beta access may be modified, suspended, or discontinued at any time.
During a trial, beta, or pilot, users should keep source records and backups outside Goodstream. Goodstream should not be used as the sole system of record for critical information during early testing.
6. Prohibited Data
Unless VeriGood has expressly authorized it in a signed written agreement, you may not upload, enter, send, store, or process the following types of information in Goodstream:
- Social Security numbers;
- Driver’s license or passport numbers;
- Payment card numbers, bank-account numbers, or financial credentials;
- Medical, health, disability, or insurance information;
- Financial-aid records;
- Grades, transcripts, disciplinary records, or protected education records;
- Passwords, private keys, API secrets, or authentication tokens not specifically requested by Goodstream for a supported integration;
- Highly sensitive personal information not necessary for the authorized use of Goodstream;
- Information about minors unless specifically authorized by the organization and permitted by law.
7. Education Records and FERPA
Goodstream may be used by educational institutions only as authorized by the institution and subject to any applicable written agreement. Goodstream is not intended to receive protected education records unless the institution has authorized that use and appropriate terms are in place.
Educational institutions remain responsible for determining whether information entered into Goodstream is subject to FERPA or other education-privacy laws. If Goodstream processes education-related information on behalf of an institution, VeriGood will use that information only to provide the authorized service and will follow the institution’s applicable instructions.
8. Email and Communication Features
If your organization uses Goodstream to send, track, or synchronize emails or other communications, your organization is responsible for the recipient list, message content, sender identity, reply-to address, email templates, signatures, opt-out handling, and compliance with applicable communication laws.
You agree not to use Goodstream email or communication features to:
- Send spam, unlawful marketing, or unauthorized messages;
- Use false, misleading, or deceptive sender information;
- Use false, misleading, or deceptive subject lines;
- Send messages to recipients your organization is not authorized to contact;
- Ignore unsubscribe, opt-out, “stop,” or do-not-contact requests;
- Send abusive, harassing, threatening, defamatory, or unlawful content;
- Send malware, phishing messages, or harmful links;
- Misrepresent Goodstream, VeriGood, your organization, or the purpose of a message.
For event invitations, outreach, promotional messages, or similar campaigns, your organization should use accurate sender information, include appropriate contact information, include any required physical mailing address, and provide a reasonable way for recipients to opt out of future communications.
9. Acceptable Use
You agree not to:
- Use Goodstream for any unlawful purpose;
- Attempt to access accounts, workspaces, records, files, or systems without authorization;
- Bypass, disable, or interfere with security or access controls;
- Upload viruses, malware, or harmful code;
- Probe, scan, or test the vulnerability of Goodstream without written permission;
- Reverse engineer, decompile, or attempt to extract source code except where allowed by law;
- Interfere with or disrupt Goodstream’s operation;
- Use automated scraping, bots, or bulk extraction tools without permission;
- Use Goodstream to infringe intellectual-property, privacy, publicity, or other rights;
- Use Goodstream in a way that could damage VeriGood, Goodstream, users, organizations, or third parties.
10. Files and Attachments
Goodstream may allow users to upload, organize, download, and manage files. You are responsible for ensuring that your organization has the right to upload and use those files. You may not upload files that are unlawful, harmful, infringing, malicious, or outside the authorized purpose of your organization’s Goodstream workspace.
11. Third-Party Services and Integrations
Goodstream may integrate with third-party services such as email providers, calendar providers, file-storage providers, hosting providers, database providers, domain providers, and other tools. Your use of third-party services may be governed by the third party’s own terms and privacy policies.
VeriGood is not responsible for third-party services that it does not control. Goodstream may rely on third-party services to provide hosting, storage, email, authentication, infrastructure, and related functionality.
12. Intellectual Property
Goodstream, including its software, design, user interface, workflows, branding, documentation, features, and related materials, is owned by VeriGood LLC or its licensors and is protected by intellectual-property laws.
These Terms do not grant you ownership of Goodstream. Subject to these Terms and any applicable written agreement, VeriGood grants authorized users a limited, revocable, non-exclusive, non-transferable right to access and use Goodstream for authorized organizational purposes.
You may provide feedback, suggestions, bug reports, or ideas about Goodstream. You agree that VeriGood may use that feedback without restriction or obligation to you, provided that VeriGood does not publicly identify your organization as the source of the feedback without permission.
13. Confidentiality
During a trial, beta, pilot, or private evaluation, Goodstream features, screenshots, documentation, pricing, roadmap information, technical details, and non-public business information may be confidential. You may not disclose confidential Goodstream information without VeriGood’s written permission, except as required by law or as allowed by a signed written agreement.
VeriGood will treat non-public Customer Data as confidential and will use it only as needed to provide, support, secure, troubleshoot, and administer Goodstream, or as otherwise allowed by a written agreement or law.
14. Publicity
Unless otherwise agreed in writing, neither party may use the other party’s name, logo, trademarks, screenshots, testimonials, or endorsement in public marketing materials. This restriction is especially important during private trials, pilots, and evaluations.
15. Availability and Changes
We may update, improve, suspend, limit, or discontinue parts of Goodstream. We may also perform maintenance or make changes that affect availability or functionality. Goodstream may not always be uninterrupted, error-free, secure, or available.
We may modify these Terms from time to time. When we update these Terms, we will revise the “Last Updated” date above. Continued use of Goodstream after updated Terms become effective means you accept the updated Terms.
16. Suspension and Termination
VeriGood may suspend or terminate access to Goodstream if we reasonably believe that:
- You or your organization violated these Terms or a written agreement;
- Your use creates a security, legal, operational, or reputational risk;
- Your account or workspace may have been compromised;
- Your use may harm Goodstream, VeriGood, other users, organizations, or third parties;
- Suspension is needed to comply with law or a third-party provider requirement.
Your organization may stop using Goodstream at any time. Data export, deletion, and retention are handled according to the applicable agreement, Privacy Policy, technical limitations, legal requirements, backup practices, and security needs.
17. Disclaimers
To the fullest extent permitted by law, Goodstream is provided “as is” and “as available.” VeriGood disclaims all warranties, express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
VeriGood does not warrant that Goodstream will be uninterrupted, error-free, secure, accurate, complete, compatible with every system, or that emails, replies, synchronization, notifications, files, reports, automations, or other features will always work as expected.
During trials, pilots, beta periods, or early-access use, Goodstream may contain bugs, incomplete features, missing functionality, data-sync errors, availability issues, or other defects. Users and organizations should maintain independent records and backups for important information.
18. Limitation of Liability
To the fullest extent permitted by law, VeriGood LLC and its owners, employees, contractors, service providers, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill, business interruption, or substitute services, arising from or related to Goodstream or these Terms.
To the fullest extent permitted by law, VeriGood’s total liability for claims arising out of or relating to Goodstream or these Terms will not exceed the greater of: (a) the amount your organization paid VeriGood for Goodstream during the three months before the event giving rise to the claim; or (b) one hundred dollars ($100).
Some limitations may not apply where prohibited by law. Nothing in these Terms is intended to limit liability for fraud, willful injury, or violations of law where such limitation is not permitted.
19. Indemnification
To the fullest extent permitted by law, you and your organization agree to defend, indemnify, and hold harmless VeriGood LLC and its owners, employees, contractors, service providers, and affiliates from claims, losses, damages, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:
- Your use or misuse of Goodstream;
- Your violation of these Terms or a written agreement;
- Your Customer Data;
- Your email campaigns, recipient lists, templates, messages, or opt-out handling;
- Your violation of law or third-party rights;
- Your unauthorized access to or use of Goodstream.
20. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Unless a separate signed agreement states otherwise, the parties agree to resolve disputes in the state or federal courts located in California, and each party consents to the jurisdiction of those courts.
